SupplyGrid Member Agreement
1. Parties and acceptance
This Agreement is between you and Jericho Supply Solutions LLC, a Texas limited liability company doing business as SupplyGrid ("SupplyGrid"), Austin, Texas.
You accept this Agreement by checking the acceptance box when you create an account, and you reaffirm it each time you use the service. If you use SupplyGrid on behalf of a company, you represent that you have authority to bind that company, and "you" means the company. If you do not agree to these terms, do not create an account or use the service.
2. Accounts and eligibility
SupplyGrid is a business-to-business service. It is offered only for business use, and only to individuals who are at least 18 years old and acting for a business. Registration requires a company email address; accounts registered with personal email providers may be refused or closed.
- Account credentials are non-transferable. Do not share logins or resell seats.
- You are responsible for everything done under your account and under the seats you purchase, including the acts of your authorized users.
- Keep your registration information accurate and your credentials secure, and tell us promptly about any suspected unauthorized use.
3. The service: a neutral venue
SupplyGrid is a marketplace that connects buyers and suppliers of electronic components. It is a neutral venue. SupplyGrid is not a party to any transaction between members, never takes title to any part, and is not a buyer, seller, broker, distributor, or agent for either side.
Listings, quantities, date codes, prices, and other member content are provided by members. SupplyGrid does not guarantee the accuracy, availability, condition, authenticity, or quality of any listing, and does not guarantee that any RFQ, bid, or negotiation will result in a transaction. Any purchase, sale, payment, shipment, inspection, or return is arranged directly between the members involved, on terms they set between themselves.
4. Anti-Counterfeit Policy
Counterfeit avoidance is a condition of using SupplyGrid as a seller. Every supplier agrees to the SupplyGrid Anti-Counterfeit Policyas a condition of listing. Violations of that policy can result in listing removal, account suspension or termination, and a dispute history that is reflected in the supplier's standing on the platform.
5. Verification, ratings, and license to display
Verification tiers, certification badges, and similar indicators reflect documents SupplyGrid reviewed at a point in time. They are not a guarantee of any member, part, or transaction, and they do not replace your own due diligence, incoming inspection, or quality processes.
You grant SupplyGrid a non-exclusive, worldwide, royalty-free license to host, reproduce, and display your listings, company profile, reviews, ratings, and RFQ metadata, and to prepare the derived aggregations (such as search results, demand statistics, and supplier standing) that are part of operating, improving, and promoting the marketplace. You are responsible for having the rights to the content you submit.
6. Anonymous excess listings
Approved members may list excess inventory anonymously. Anonymity holds until the seller accepts a bid on a lot. Acceptance reveals the seller's identity to that winning bidder only; declined bidders and other members do not receive it through the platform. SupplyGrid may disclose a seller's identity where required by law, legal process, or government authority, and as described in the Privacy Policy.
7. Fees and refunds
Founding supplier subscriptions are offered at the prices stated on the pricing page: Founding Annual at $150 per seat per month, billed annually at $1,800; and Founding 6-Month at $169 per seat per month, billed every 6 months at $1,014. Founding purchases carry a full refund any time before launch day, no questions. The Founding Annual rate is locked for as long as the subscription remains active.
Buying on SupplyGrid is free: OEM and EMS buyer accounts pay no seat fees and no per-RFQ cost. After launch, cancellations and renewals are handled according to the plan terms shown at the time of purchase. Fees do not include taxes; you are responsible for any that apply to you.
8. Export compliance and sanctions
Electronic components and their technical data can be controlled items. This section is a condition of your use of SupplyGrid.
- You certify that you comply, and will comply, with all applicable export control and sanctions laws and regulations, including the U.S. Export Administration Regulations (EAR), the International Traffic in Arms Regulations (ITAR), and the sanctions programs administered by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC).
- You will not sell, transfer, export, re-export, or release any hardware or technical data obtained through SupplyGrid in violation of U.S. law.
- You will not engage in transactions through SupplyGrid involving jurisdictions embargoed by the United States, or involving any party identified on U.S. government restricted party lists, including the Denied Persons List, the Entity List, the Unverified List, the Debarred List, and the Specially Designated Nationals and Blocked Persons (SDN) List, in each case as in effect at the time of the transaction.
- You will not use, sell, or supply items obtained through SupplyGrid for prohibited end uses, including activities related to weapons of mass destruction (nuclear, chemical, or biological weapons), missile technology, or military end uses or military end users that are not authorized under applicable law.
- You retain sole responsibility for the export classification of the items you buy or sell, for determining whether a license or other authorization is required, and for obtaining it. SupplyGrid does not classify parts and does not provide export advice.
- You will indemnify and hold SupplyGrid harmless from any claim, penalty, or loss arising from your violation of export control or sanctions laws.
9. Acceptable use
In addition to the rest of this Agreement, you agree not to:
- scrape, crawl, or systematically extract data from the service, or access it by any automated means we have not authorized;
- resell, redistribute, or commercialize platform data, including listings, pricing, demand statistics, or member information;
- post false, misleading, or deceptive listings, quantities, date codes, certifications, or company information;
- harvest member contact details, or use the platform to spam, solicit off-platform in bulk, or build contact databases;
- probe, interfere with, or circumvent the platform's security, rate limits, anonymity protections, or access controls.
10. Disclaimer of warranties
The service is provided "as is" and "as available." To the maximum extent permitted by law, SupplyGrid disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade. SupplyGrid does not warrant that the service will be uninterrupted, error-free, or secure, or that any listing or member content is accurate or authentic.
11. Limitation of liability
To the maximum extent permitted by law, SupplyGrid will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the service or this Agreement, even if advised of the possibility. SupplyGrid's total aggregate liability for all claims arising out of or relating to the service or this Agreement is capped at the fees you paid to SupplyGrid in the 12 months before the event giving rise to the claim. These limits apply regardless of the theory of liability and survive any failure of essential purpose.
12. Indemnification
You will defend, indemnify, and hold harmless SupplyGrid and its officers, members, employees, and agents from any third-party claim, and any resulting damages, penalties, costs, and reasonable attorneys' fees, arising from your listings and content, your transactions with other members, your violation of this Agreement or of applicable law (including export control and sanctions laws), or your infringement of any third-party right.
13. Suspension and termination
You may close your account at any time. SupplyGrid may suspend or terminate your account or restrict features, with or without notice, if it reasonably believes you have violated this Agreement or the Anti-Counterfeit Policy, created risk or legal exposure for SupplyGrid or its members, or failed to pay fees when due.
Sections that by their nature should survive do survive termination, including the license in Section 5, Sections 8 and 10 through 15, and any accrued payment obligations. Dispute records may be retained after termination as described in the Privacy Policy.
14. Governing law and venue
This Agreement is governed by the laws of the State of Texas, without regard to its conflict of laws rules. The exclusive venue for any dispute arising out of or relating to this Agreement or the service is the state or federal courts located in Travis County, Texas, and each party consents to personal jurisdiction there.
15. General terms
This Agreement, together with the Privacy Policy and the Anti-Counterfeit Policy, is the entire agreement between you and SupplyGrid about the service and supersedes any prior discussions. If any provision is held unenforceable, it will be limited to the minimum extent necessary and the rest of the Agreement remains in effect. A failure to enforce a provision is not a waiver.
SupplyGrid may update this Agreement; material changes will be posted with a new version number and effective date, and your continued use after the effective date is acceptance. Notices to SupplyGrid should be sent to support@supplygrid.net pending publication of a mailing address.
